AYP Group Services Agreement


1. Acceptance of Services Agreement

This AYP Group Services Agreement contains the terms and conditions that govern the use of, and the terms and conditions, upon which AYP Group will provide you that service. The service may be provided through the web site and / or mobile applications.

By accepting these terms, or by accessing or using the service or site, or authorizing or permitting any Agent or End user to access or use the service, you agree to be bound by these terms.

2. Service

2.1  AYP Group Pte Ltd / AYP Group provides cloud online HR solutions through the site AYP Group.com. You will be required to appoint an administrator and to set the access rights for each user. Your registration constitutes consent for AYP Group to use any personal data which you provide for the purpose of providing the service (as set out in our Privacy Policy here), and for any ancillary uses for which your consent may reasonably be implied.

2.2 You also acknowledge and agree that in providing the service, AYP Group is not acting in a fiduciary capacity for you and/or your business and that the service does not relieve you of your obligations to obtain approvals and consents including any implied and / or express approvals and consents of your employees in connection with the collection, use and disclosure of their personal data required for AYP Group to provide the payroll service on your behalf.

2.3 You also acknowledge and agree that using the service does not relieve you of your legal and/or statutory obligations under the relevant laws, including but not limited to the obligation to pay your employees the correct amount of wages.

2.4 AYP Group does not guarantee that the customer’s use of the service will be uninterrupted or error free; or that the service provided and/or the information obtained by the customer through the service will meet the customer’s requirements.

2.5 AYP Group is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communication networks and facilities, including the internet, and the the customer acknowledges that the service may be subject to limitation, delays and other problems inherent in the use of such communication facilities.

3. Intellectual Property Rights

3.1  AYP Group owns all global rights, copyrights, database rights, trade secrets, title and interest in and to the service and the site, applications and software platform that AYP Group uses to provide the service.

3.2 You are not permitted to disseminate any information that is made available to you, as a licensee, by AYP Group, including but not limited to login credentials.

4. Limitation of Liability

4.1  In no event shall AYP Group, its officers, directors, employees, advisors, parent company, subsidiaries or assigns, be liable to any person for any indirect, incidental or consequential damages ( including but not limited to business profits, business interruptions, loss of information and the like), in any way arising out of the deliver, performance, or use of the service. For any claim attributable to errors, omissions, or other inaccuracies in, or destructive properties of the service, or any other software or other content.

4.2 You agree that in no event will AYP Group’s total liability exceed the total of the fees, if any, paid by you for your subscription during the 12-month period immediately preceding the alleged claim or alleged cause of action.

5. Miscellaneous

5.1  AYP Group may amend these terms from time to time, in which case the new terms shall supersede any previous versions.

5.2 By entering this agreement, you acknowledge that you are transacting business with AYP Group in the Republic of Singapore. Any dispute arising out of or in connection with this agreement shall be referred to and finally and conclusively resolved by arbitration in Singapore in accordance with the Arbitration rules of the Singapore international Arbitration centre (SIAC Rules). The language of the arbitration shall be in English. In the event that recourse to the courts shall be necessary, the parties hereby submit to the non-exclusive jurisdiction of the courts of the Republic of Singapore.
